Acceptance of Terms
By accessing, browsing, registering for, or using the Agrodity ND Corp. ("Agrodity," "we," "us," or "our") marketplace, platform, website, mobile application, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Use and all applicable policies, rules, and guidelines referenced herein (collectively, these "Terms"). If you do not agree to these Terms, you may not access or use the Platform. Your continued use of the Platform after any changes to these Terms constitutes acceptance of the revised Terms.
Description of Service
Agrodity operates an independent electronic marketplace and provides technology services facilitating physical agricultural commodity transactions in the United States. The Platform connects verified buyers, sellers, brokers, elevators, cooperatives, processors, and other qualified participants for the purpose of negotiating and executing physical grain transactions. Agrodity provides order-matching, negotiation, contracting, quality documentation, delivery tracking, and escrow-based settlement infrastructure. Agrodity is not a futures exchange, a registered securities marketplace, or a swap execution facility, and does not offer or facilitate trading in futures contracts, options, or derivatives.
Participant Eligibility and Verification
Only verified participants may create orders, submit bids, negotiate, or execute contracts through the Platform. Participants must be producers, processors, commercial users of, or merchants handling agricultural products, and must enter each transaction solely for purposes related to their business operations and not for speculation. Each participant must intend to make or take physical delivery of the agricultural products traded. Participants must complete applicable verification processes, which may include identity verification, business verification, contact verification, banking verification, and compliance verification, before receiving verified marketplace access. Agrodity reserves the right to deny or revoke access to any participant at any time in its sole discretion.
Accounts and Authorized Users
Each participant receives a unique username and trader identification number issued by Agrodity. Participants are responsible for maintaining the confidentiality and security of their account credentials and for all activity conducted under their account. Participants must only trade using their own assigned credentials and must not share usernames, passwords, or trader identification numbers with any third party. Participants are responsible for administering reasonable supervisory procedures ensuring that they and their Authorized Users comply with these Terms and all applicable rules. Any violation by an Authorized User is deemed a violation by the Participant.
Transactions and Confirmations
Trading participants submit anonymized buy and sell orders through the Platform. When orders are matched, the identity of matched participants is revealed to each party in the Confirmation. All transactions executed through the Platform are confirmed by a Confirmation that sets forth the specifications of the agricultural products and the terms of the transaction. All transactions are for the immediate physical delivery of agricultural products, with delivery occurring within two (2) business days of matching, or constituting a forward contract if delivery is deferred beyond two (2) business days for commercial purposes. Agrodity facilitates transactions between participants but is not a party to transactions unless expressly disclosed before execution. All transaction terms are established by the participants and documented through the Platform.
Escrow-Based Settlement
Agrodity Secured Settlement uses a dual-controlled escrow (trust) account, administered by a federally regulated payment custodian, to hold buyer funds for each physical grain transaction. Buyer funds are deposited into the escrow account upon contract execution and held securely until all verified release conditions are satisfied. Title to the underlying grain transfers from seller to buyer only upon Agrodity's verified confirmation that the contracted quantity and grade have been loaded or delivered, evidenced by a bill of lading, certified scale ticket, or official FGIS inspection certificate. Funds are released from the escrow account to the seller only after these verified release conditions are met and the settlement timeline defined in the contract has elapsed.
Fees and Payment
Applicable platform, transaction, settlement, inspection, and other fees are disclosed separately before a trade is executed. Transaction cost is 1.50 cents per bushel, buyer-paid only for the first 500,000 bushels. Farmers always list and sell free. Pricing varies by participant type and is available on the Pricing page or by contacting Agrodity. All payments shall be made in U.S. dollars. If a party fails to make any payment obligation when due, such party must pay interest on the overdue amount at a per annum rate equal to the SOFR 30-Day Average as of the date payment was due, plus 250 basis points and the SOFR Adjustment (0.26161%).
Delivery Obligations and Failure
All transactions entered into using the Platform are enforceable obligations between the parties. If a Seller fails to deliver agricultural products pursuant to the terms of a Confirmation, and such failure is not excused, the Seller shall pay the Buyer an amount equal to the undelivered quantity multiplied by the positive difference, if any, between the Replacement Price and the Contract Price. If a Buyer fails to receive agricultural products, the Buyer shall pay the Seller an amount equal to the undelivered quantity multiplied by the positive difference, if any, between the Contract Price and the Sales Price. Any failure to make or take delivery must be reported immediately by Notice to Agrodity.
Prohibited Conduct
Participants must not misuse the Platform; use it for any fraudulent or wrongful purpose; participate in abusive trading practices including price or market manipulation, wash trading, spoofing, or spoofing-related activity; enter orders that are not in good faith and for legitimate purposes; or engage in any manipulative or disruptive market practices. Participants must at all times act in a manner that maintains a fair, orderly, and transparent market and maintain high standards of integrity, fair dealing, and just and equitable principles of trade.
Intellectual Property
The Platform, including all content, software, databases, protocols, interfaces, designs, logos, trademarks, and proprietary processes, is owned by Agrodity ND Corp. and protected by applicable intellectual property laws. Participants may not copy, reproduce, distribute, modify, or create derivative works from any Platform content without prior written consent. Participants retain ownership of the transaction data they submit, but grant Agrodity a non-exclusive license to use, process, and display such data for the purpose of operating the Platform.
Confidentiality
Participants agree to keep Company Confidential Information confidential and to use such information solely for their own trading activities. Company Confidential Information includes the identity, price, and quantity of orders entered by other persons, the database, software, protocols, and interfaces of the Platform, and proprietary processes, trade secrets, and commercial strategies of Agrodity. Participants must not disclose Company Confidential Information to any other person except as required by law or regulation.
Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis. Agrodity disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Agrodity does not warrant that the Platform will be uninterrupted, error-free, or secure, or that market information displayed is accurate, complete, or timely. Market information may be live, delayed, indicative, firm, or illustrative, and each item is labeled accordingly.
Limitation of Liability
To the maximum extent permitted by applicable law, Agrodity ND Corp., its officers, directors, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from or related to the use of or inability to use the Platform. Agrodity provides marketplace and transaction technology. Available services, transaction structures, settlement procedures, and participant protections depend on the applicable agreements and transaction terms. Participants are responsible for evaluating counterparty information and for pursuing any remedies provided under the applicable agreements.
Indemnification
Participants agree to indemnify and hold harmless Agrodity ND Corp., its officers, directors, employees, affiliates, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to the participant's use of the Platform, any transaction executed through the Platform, or any breach of these Terms.
Trading Hours
The Platform is available for trading Monday through Friday, 8:30 a.m. to 1:20 p.m. Central Time. Trading hours may be amended by Agrodity from time to time in its sole discretion and published on the Company Website, with amended hours effective on the date posted.
Modification of Agreement and Services
Agrodity may unilaterally amend these Terms by sending at least five (5) days prior written Notice of the amendment to Participants. Participants will be deemed to agree to each amendment if they do not terminate their Agreement prior to the effective date. Agrodity may also modify the Platform services and will provide prior Notice if practicable.
Termination
Agrodity may terminate a Participant's agreement and/or suspend Platform access upon failure to pay applicable fees, material breach of these Terms, bankruptcy or insolvency, or failure to make or take delivery of agricultural products. For payment and material breach events, Agrodity provides thirty (30) days Notice with opportunity to cure. Either party may also terminate the agreement for any reason upon ninety (90) days prior written Notice, provided all outstanding transaction obligations are fulfilled.
Dispute Resolution and Arbitration
Any dispute or controversy in connection with these Terms, including their interpretation, will be conclusively settled by submission to arbitration in accordance with the rules of the American Arbitration Act. Arbitration is conducted in Los Angeles County, California before a single mutually agreed arbitrator. The decision of the arbitrator is final and binding. By agreeing to these Terms, Participants irrevocably waive any right to bring an action in a court of law and waive the right to have claims determined by a jury.
Governing Law
These Terms and any dispute arising from or relating to them shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws provisions.
Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
Entire Agreement
These Terms, together with all applicable policies, rules, and the Platform Agreement, constitute the entire agreement between Agrodity and the Participant with respect to the subject matter herein and supersede all prior or contemporaneous understandings.
Agrodity provides technology and marketplace services for physical agricultural commodity transactions in the United States. Available services, transaction structures, settlement procedures and participant protections depend on the applicable agreements and transaction terms.
