Escrow-Based Settlement

Agrodity Secured Settlement uses a dual-controlled escrow (trust) account, administered by a federally regulated payment custodian, to hold buyer funds for each physical grain transaction. Buyer funds are deposited into the escrow account upon contract execution and held securely until all verified release conditions are satisfied. Title to the underlying grain transfers from seller to buyer only upon Agrodity's verified confirmation that the contracted quantity and grade have been loaded or delivered, evidenced by a bill of lading, certified scale ticket, or official FGIS inspection certificate, and that the agreed quality specifications, delivery terms, freight, and applicable weight or grade adjustments have been recorded against the contract. Funds are released from the escrow account to the seller only after these verified release conditions are met and the settlement timeline defined in the contract has elapsed.

Settlement Process

Settlement is managed according to defined transaction-specific conditions and approved Agrodity procedures. The complete settlement structure, including the custodian, account structure, release triggers, dispute window, treatment of partial delivery, and applicable fees, is displayed to every participant before contract execution.

Payment Conditions

Before executing a transaction, Agrodity discloses who is responsible for payment, whether funds are prefunded, controlled or otherwise secured in the escrow account, who holds or administers funds, release conditions, expected settlement timing, required documents and applicable fees.

Quality Adjustments

Treatment of quality adjustments and partial delivery is specified in the executed contract and disclosed before execution. Any quality-based price adjustments are calculated against the contracted specifications and applied to the escrow release amount.

Dispute Procedure

Settlement disputes are resolved according to the dispute resolution provisions of the applicable agreement. Funds held in the escrow account remain under dual control until the dispute is resolved or the applicable dispute window expires.
