Trading Rules

Eligibility to Trade

Only verified participants may create orders, submit bids, negotiate or execute contracts through the Agrodity marketplace. Participants must be producers, processors, commercial users of, or merchants handling Agricultural Products, and must enter each transaction solely for purposes related to their business and not for the purpose of speculation. Each participant must intend to make or take physical delivery of the Agricultural Products traded.

Adherence to Rules and Authorized Users

Each Participant agrees to abide by the Rules throughout the term of their Platform Agreement. Participants are responsible for maintaining and administering reasonable supervisory procedures ensuring that they and their Authorized Users at all times comply with the Agreement and the Rules. Participants must familiarize their Authorized Users with all applicable obligations and ensure they receive training prior to accessing the Platform. Any violation by an Authorized User is deemed a violation by the Participant.

Unique Identification

Each Participant and Authorized User receives a unique username and trader identification number issued by Agrodity ND Corp. Participants and Authorized Users must only trade using their own assigned credentials. Sharing usernames or trader identification numbers with any third party is strictly prohibited.

Transaction Procedures

Trading participants submit anonymized buy and sell orders through the Platform. When orders are matched, the identity of matched participants is revealed to each party in the Confirmation. All transactions executed through the Platform are confirmed by a Confirmation that sets forth the specifications of the Agricultural Products and the terms of the transaction. All transactions are for the immediate physical delivery of Agricultural Products, with delivery occurring within two (2) business days of matching, or constituting a forward contract if delivery is deferred beyond two (2) business days for commercial purposes.

Order Integrity and Market Conduct

Participants must at all times act in a manner that maintains a fair, orderly and transparent market. Participants must only submit bona fide orders and prices to the Platform. All information submitted to the Platform must be true, accurate and not false or misleading. Participants must at all times maintain high standards of integrity, market conduct, fair dealing and just and equitable principles of trade.

Prohibited Conduct

Participants must not: misuse or attempt to misuse the Platform; use or attempt to use the Platform for any fraudulent or wrongful purpose; participate in abusive trading practices including but not limited to price or market manipulation, wash trading, and spoofing; enter or cause to be entered an order that is not in good faith and for legitimate purposes; or engage or attempt to engage in any manipulative or disruptive market practices on the Platform.

Delivery Obligations and Failure

All transactions entered into using the Platform are enforceable obligations between the parties. If a Seller fails to deliver Agricultural Products pursuant to the terms of a Confirmation, and such failure is not excused, the Seller shall pay the Buyer an amount equal to the undelivered quantity multiplied by the positive difference, if any, between the Replacement Price and the Contract Price. If a Buyer fails to receive Agricultural Products, the Buyer shall pay the Seller an amount equal to the undelivered quantity multiplied by the positive difference, if any, between the Contract Price and the Sales Price. Any failure to make or take delivery must be reported immediately by Notice to Agrodity ND Corp.

Payment Obligations and Interest

All payments shall be made in U.S. dollars. If a party fails to make any payment obligation resulting from a transaction when due, such party must pay interest to the other party on the overdue amount for the period from the original due date to the date of actual payment, at a per annum rate equal to the SOFR 30-Day Average as of the date payment was due, plus 250 basis points and the SOFR Adjustment (0.26161%).

Trading Hours

The Platform is available for trading Monday through Friday, 8:30 a.m. to 1:20 p.m. Central Time. Trading hours may be amended by Agrodity ND Corp. from time to time in its sole discretion and published on the Company Website, with amended hours effective on the date posted.

Fair and Orderly Market

Agrodity ND Corp. may take any action it considers necessary or appropriate to ensure that the Platform is fair, orderly and transparent. The Company is authorized to place one or more types of Agricultural Products into a trading halt or suspension in its sole discretion to maintain a fair and orderly market. Agrodity will provide Notice to Participants or publish on its Website information regarding Platform availability or unavailability.

Modification of Agreement and Services

Agrodity ND Corp. may unilaterally amend the Platform Agreement by sending at least five (5) days prior written Notice of the amendment to Participants. Participants will be deemed to agree to each amendment if they do not terminate their Agreement prior to the effective date. Agrodity may also modify the Platform services and will provide prior Notice if practicable.

Confidentiality

Participants agree to keep Company Confidential Information confidential and to use such information solely for their own trading activities. Company Confidential Information includes the identity, price and quantity of orders entered by other persons, the database, software, protocols and interfaces of the Platform, and proprietary processes, trade secrets and commercial strategies of Agrodity ND Corp. Participants must not disclose Company Confidential Information to any other person except as required by law or regulation.

Termination

Agrodity ND Corp. may terminate a Participant's Agreement and/or suspend Platform access upon failure to pay applicable fees, material breach of the Agreement, bankruptcy or insolvency, or failure to make or take delivery of Agricultural Products. For payment and material breach events, Agrodity provides thirty (30) days Notice with opportunity to cure. Either party may also terminate the Agreement for any reason upon ninety (90) days prior written Notice, provided all outstanding transaction obligations are fulfilled.

Dispute Resolution and Arbitration

Any dispute or controversy in connection with the Platform Agreement, including its interpretation, will be conclusively settled by submission to arbitration in accordance with the rules of the American Arbitration Act. Arbitration is conducted in Los Angeles County, California before a single mutually agreed arbitrator. The decision of the arbitrator is final and binding. By agreeing to these Rules, Participants irrevocably waive any right to bring an action in a court of law and waive the right to have claims determined by a jury. The Agreement is governed by the laws of the State of Illinois.

Company Not a Party

Agrodity ND Corp. is only a supplier of access to the Platform and is not directly or indirectly a party to, or participant in, any trade or transaction entered into or otherwise conducted through the Platform. Participants are responsible for pursuing any remedies provided under the Agreement and for resolving disputes arising from any failure by another party to make or take delivery or make required payments.

Agrodity provides technology and marketplace services for physical agricultural commodity transactions in the United States. Available services, transaction structures, settlement procedures and participant protections depend on the applicable agreements and transaction terms.
